Registration of the limited liability company or private undertaking.

I. What does it mean?
Limited liability company (hereinafter – LLC):
•               The LLC founders may be both natural and legal entities (including nonresidents). Ukrainian legislation also provides for establishment of the LLC by single founder.
•               It has authorized capital, divided into shares, the size of which is determined by the incorporation documents (i.e. the authorized capital may be divided between founders both 50/50 and 99/1). The amount of authorized capital shall not be less than amount equivalent to 100 minimum wages, on the basis of minimum wage rate, which is effective at the moment of the LLC establishment.
As for January 2008 the rate of the minimum wage comes to 515,00 UAH, i.e. the amount of the minimum authorized capital comes to 51 500,00 UAH. From 1st of April 2008 – 525,00 UAH, the minimum authorized capital is 52 500,00 UAH, from 1st of October 2008 – 545,00 UAH, the minimum authorized capital is 54 500,00 UAH
The founders (each) shall contribute not less than 50% of their interest prior to the state registration. Both bankroll and assets can form the authorized capital.
•               With the consent of other members a member of the LLC can transfer his/her interest (its part) to one or several members of that LLC, as well as to the third persons unless incorporation documents provide otherwise. LLC members have the pre-emption right with regard to transferred member’s interest (its part), proportional to their interest in authorized capital of the LLC or in any other agreed amount.
•               There are no limitations in choosing the activities.
•               There are no limitations in choosing the taxation system.

II. What papers are required for the documents preparation and LLC registration?
•   The founder (natural person) shall provide the following documents:
- copy of the passport;
- copy of the identification number;
- if the founder (natural person) is an entrepreneur, it is necessary to provide the copy of the Certificate of state registration of the natural person - entrepreneur.
•   The founder (legal person) shall provide the following documents:
- copy of the Certificate of state registration;
- copy of the Certificate of tax registration;
- copy of the Certificate of entering in the Single state register of the Ukrainian enterprises and organizations;
- copy of the minutes on appointment of director;
- copy of the articles of association.
•   The founder (legal person – nonresident of Ukraine) shall provide the following documents:
- copy of the Certificate (reference, record etc.) of state registration translated into Ukrainian and duly certified;
- copy of the articles of association translated into Ukrainian and duly certified;
- power of attorney (translated into Ukrainian and duly certified) granted to the founder’s (legal person – nonresident of Ukraine) representative, who signs the incorporation documents on behalf of legal person – nonresident of Ukraine.
•   Director, chief accountant shall provide the following documents:
- copy of the passport;
- copy of the identification number.

III. Cost. Expenses. Terms.
•   Basic service package for registration of the LLC.
This package includes:
- documents preparation;
- organization of the documents confirmation by a notary;
- opening of temporary account;
- preparation of the appropriate documents and support in execution of state registration in the District State Administration;
- obtaining the permission for seal making;
- seal making;
- registration in all compulsory funds (4 funds);
- registration in State Tax Inspectorate.
The cost of this package for the one-member LLC comes to 1 200,00 UAH + 100,00 UAH for each next member
Registration term is 8 working days after the contribution of 50% to the LLC authorized fund.
•   Advanced service package for registration of the LLC.
This package includes:
- "Basic package" +
- documents preparation and application for the obtaining a Certificate of VAT payer (or single tax);
- поassistance in documents preparation for the opening of permanent account and notification to the tax authorities on opening of permanent account.
The cost of this package for one member comes to 1 500,00 UAH
+ 100,00 UAH in addition to the said amount for each next member
Registration term is 5 working days after the contribution of 50% to the authorized fund of the LLC, plus 7 working days to obtain a Certificate of VAT payer (or single tax).
•   “Fast” registration of the LLC.
This package includes:
- "Basic package" +
- reservation of name;
- documents preparation and application for the obtaining a Certificate of VAT payer (or single tax);
- assistance in documents preparation for the opening of permanent account and notification to the tax authorities on opening of permanent account.
The cost of this package for one member comes to 2 500,00 UAH
+ 100,00 UAH in addition to the said amount for each next member
Registration term is 5 working days after the contribution of 50% to the authorized fund of the LLC, plus 7 working days to obtain a Certificate of VAT payer (or single tax). Note. In practice, Kyiv State Tax Inspectorate does not always follow that term. It may be delayed for a few weeks.
•   It is also possible to order the following additional services:

Documents preparation and application for the obtaining

•   Expenses.
The compulsory expenses occurring while LLC registering (seal making, state dues, notary services) may vary from 700,00 UAH to 1 000,00 UAH depending on your requests and wishes.
