Registration of the joint-stock company

I. What does it mean?
Closed joint-stock company (hereinafter – CJSC):
•   The CJSC founders may be both natural and legal persons (including nonresidents). Ukrainian legislation also provides for establishment of the CJSC by single founder.
•   The authorized capital of the CJSC is divided into a certain number of shares having the same par value.
•   The CJSC is solely responsible for its obligations with all its property (assets). The shareholders do not responsible for the CJSC obligations and take upon themselves the risk of losses related to the CJSC activity, within the limits of their shares value.
•   The amount of authorized capital shall not be less than amount equivalent to 1 250 minimum wages, on the basis of minimum wage rate which is effective at the moment of the CJSC establishment. As for January 2008 the rate of the minimum wage comes to 515,00 UAH, i.e. the amount of the minimum authorized capital comes to 643 750,00 UAH, from 1st of April 2008 – 525,00 UAH, the minimum authorized capital 656250,00 UAH, from 1st of October 2008 – 545,00 UAH, the minimum authorized capital is 681 250,00 UAH
•   CJSC shareholders have the pre-emption right with regard to the shares to be sold by the other shareholders of that CJSC.
•   There are no limitations in choosing the activities.
•   There are no limitations in choosing the taxation system.

II. What papers are required for the documents preparation and CJSC registration?
•   The founder (natural person) shall provide the following documents:
- copy of the passport;
- copy of the identification number;
- If the founder (natural person) is an entrepreneur, it is necessary to provide the copy of the Certificate of state registration of the natural person - entrepreneur
•   The founder (legal person) shall provide the following documents:
- copy of the Certificate of state registration;
- copy of the Certificate of tax registration;
- copy of the Certificate of entering in the Single state register of the Ukrainian enterprises and organizations;
- copy of the minutes on appointment of director;
- copy of the articles of association.
•   The founder (legal person – nonresident of Ukraine) shall provide the following documents:
- copy of the Certificate (reference, record etc.) of state registration translated into Ukrainian and duly certified;
- copy of the articles of association translated into Ukrainian and duly certified;
- power of attorney (translated into Ukrainian and duly certified) granted to the founder’s (legal person – nonresident of Ukraine) representative, who signs the incorporation documents on behalf of legal person – nonresident of Ukraine.
•   Director, chief accountant shall provide the following documents:
- copy of the passport;
- copy of the identification number.

III. Cost. Expenses. Terms. Payment conditions.
•   Service package for registration of the CJSC includes:
- preparation of the appropriate documents;
- reservation of name;
- registration of the issue of shares;
- assigning of International Securities Identification Number to shares;
- opening of temporary account for the authorized capital formation;
- preparation of the appropriate documents and support in execution of state registration in the District State Administration, obtaining the permission for the seal making, seal making, registration in all compulsory funds (4 funds), registration in the State Tax Inspectorate, documents preparation and application for the obtaining a Certificate of VAT payer (or single tax), assistance in documents preparation for the opening of permanent account and notification to the tax authorities on opening of permanent account;
- registration of the report on CJSC shares allocation.
•   The cost of this package comes to 5 500,00 UAH
•   The total execution term of service package for CJSC registration is 60 working days.
•   It is also possible to order the following additional services:
Reservation of name                   + 50,00 UAH
Obtaining the permission for the stamp making
and the additional stamps making                     + 100,00 UAH
Drawing up the documents in two languages                         + 500,00 UAH.
Obtaining the identification number
for the natural persons – nonresidents                                  + 300,00 UAH
•   Expenses.
The compulsory expenses occurring while CJSC registering (seal making, state dues, notary services) may vary from 700,00 UAH to 1 000,00 UAH depending on your requests and wishes
Additional expenses:
- In case of the CJSC establishment by natural persons, the conclusion of notarized memorandum of association is required. The state due in the amount of 1% of the authorized capital of the CJSC should be paid while notarizing of the memorandum of association;
- In case of the CJSC establishment the auditing procedure is required. The cost of the auditing procedure shall be additionally specified;
- assigning of International Securities Identification Number to shares – 1 880,00 UAH.
