Section “I would like to establish the Representative office”

I. What does it mean?

v     Representative office of the foreign business entity is an establishment, that represents the interests of the foreign business entity on the territory of Ukraine being duly authorized thereto;

v     It is being established by the foreign business entity (legal person – nonresident of Ukraine);

v        Representative office director acts on the basis of the power of attorney granted by the foreign business entity. щ

II. What papers are required for the documents preparation and establishment of the Representative office?

v     Foreign business entity (hereinafter – FBE) shall provide the following:

- Extract from the Trade (Bank) Register of the country, where the FBE is officially registered.

- Certificate from the Bank, where the account of the FBE is officially opened. The signature of bank clerk who issued a Certificate should be certified by a notary.

- Application for the Representative office establishment. The signature of FBE director on an application should be certified by a notary. Draft document may be provided by law firm.

- Decision of the FBE (made in form of a protocol or in form of any other document provided by the articles of association of the FBE) on Representative office establishment. Draft document may be provided by law firm.

- Original of the power of attorney to carry out the activity related to registration of the Representative office on the territory of Ukraine. Draft document may be provided by law firm.

- Original of the power of attorney granted to the director of Representative office.

The stated documents should be duly legalized by the Ukrainian Consulate unless international treaties of Ukraine provide otherwise.

v     Director, chief accountant of the Representative office shall provide the following documents:

- copy of the passport;

- copy of the identification number.

III. Cost. Expenses. Terms.

v     Basic service package for establishment of the Representative office. This package includes: documents preparation, support in execution of state registration, entering in the Single state register, obtaining the permission for the seal making and seal making, registration in all compulsory funds (4 funds), registration in State Tax Inspectorate, assistance in documents preparation for the opening of account and notification to the tax authorities on opening of account.

- The cost of this package comes to 1 700,00 USD.

- Registration term is 60 working days after the submission of all documents.

v     “Fast” establishment of the Representative office.

- The cost of this package comes to 3 000,00 USD.

- Registration term is 15 working days after the submission of all documents.

v     Expenses..

The compulsory expenses occurring while establishing the Representative office:

- state due in amount of 2 500,00 USD;

- services of an interpreter;

- other expenses (seal making, notary services etc) may vary from 400,00 UAH to 1 500,00 UAH depending on your requests and wishes.
