I would like to register the amendments to the founding documents

I. What papers are required?
•   To change the founders composition of the legal person (hereinafter – LP) it is necessary to provide the following documents:
- original of the Certificate of registration of the LP;
- original of the articles of association of the LP;
- original of the Certificate of entering in the Single state register of the Ukrainian enterprises and organizations;
- copies of the passports and identification numbers of the “old” founders of the LP;
- copies of the passports and identification numbers of the “new” founders of the LP;
- copy of the passport and identification number of the director of the LP;
- copy of the passport and identification number of the accountant of the LP.
•   To change the amount of the authorized capital of the LP it is necessary to provide the following documents:
- original of the Certificate of state registration of the LP;
- original of the articles of association of the LP;
- original of the Certificate of LP entering in the Single state register of the Ukrainian enterprises and organizations;
- copies of the passports and identification numbers of the founders of the LP;
- copy of the passport and identification number of the director of the LP;
- copy of the passport and identification number of the accountant of the LP.
•   To change the location of the LP it is necessary to provide the following documents:
- original of Certificate of state registration of the LP;
- original of the articles of association of the LP;
- original of the Certificate of LP entering in the Single state register of the Ukrainian enterprises and organizations;
- copies of the passports and identification numbers of the founders of the LP;
- copy of the passport and identification number of the director of the LP;
- copy of the passport and identification number of the accountant of the LP;
- original of the Certificate of registration in State Tax Inspectorate;
- original of the Certificate of VAT payer (or single tax);
- originals of the Insurance certificates (notifications) of compulsory funds (4 originals);
- original of the leasing contract for a new address (we can provide, if necessary).
•   To change the director of the LP it is necessary to provide the following documents:
- original of the Certificate of state registration of the LP;
- original of the articles of association of the LP;
- original of the Certificate of entering in the Single state register of the Ukrainian enterprises and organizations;
- copies of the passports and identification numbers of the founders of the LP;
- copy of the passport and identification number of the “new” director of the LP;
- copy of the passport and identification number of the accountant of the LP;
- original of the Certificate of registration in State Tax Inspectorate;
- copies of the Insurance certificates (notifications) of compulsory funds (4 originals).
•   To change the name of the LP it is necessary to provide the following documents:
- original of the Certificate of state registration of the LP;
- original of the articles of association of the LP;
- original of the Certificate of LP entering in the Single state register of the Ukrainian enterprises and organizations;
- copies of the passports and identification numbers of the founders of the LP;
- copy of the passport and identification number of the director of the LP;
- copy of the passport and identification number of the accountant of the LP;
- original of the Certificate of registration in the State Tax Inspectorate;
- original of the Certificate of VAT payer (or single tax);
- originals of the Insurance certificates (notifications) of compulsory funds (4 originals).

II. Cost. Expenses. Terms.

•   Service package for registration of the change of legal person location (within the same district).
The cost of this package comes to 1 400,00 UAH
Registration term is 10 working days after the signing of the appropriate documents, plus 7 working days to obtain a Certificate of VAT payer (or single tax).
•   Service package for registration of the change of legal person location (transfer into another district).
The cost of this package comes to 2 000,00 UAH
Registration term is 25 working days after the signing of the appropriate documents. This term includes the transfer of the legal person in all compulsory state organizations, except for State Tax Inspectorate. The State Tax Inspectorate transfers the LP into new district only after the end of the current year.
•   Service package for registration of the change of director.
The cost of this package comes to 1 100,00 UAH
Registration term is 7 working days after the signing of the appropriate documents.
•   Service package for registration of the change of name.
The cost of this package comes to 1 500,00 UAH
Registration term is working days after the signing of the appropriate documents.

• Expenses.
The compulsory expenses occurring while amendments registering (seal making, state dues, notary services) may vary from 100,00 UAH to 1 000,00 UAH depending on your requests and wishes.

*** To change the founding documents and the director candidature (for the joint stock companies) it is necessary to call a stockholders’ meeting. The notice of stockholders’ meeting should be made for 45 days prior to said meeting.
